Rider Terms & Conditions

Please read these Terms carefully before registering as a Rider. By completing the nDuthi254 Rider registration process or accepting any ride request through the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, do not register or use the Platform as a Rider.

Section 01

Definitions

In these Terms, the following words and phrases have the meanings given below:

About nDuthi254

nDuthi254 is a technology platform that connects Passengers seeking motorcycle taxi services with independent boda boda operators in Naivasha and surrounding areas.

nDuthi254 is a matching platform only. We are not a transport company, employer, taxi operator, or carrier. We do not hire, employ, or control Riders. Riders on the Platform are independent operators. The legal contract for any Ride is made directly between the Rider and the Passenger — not with nDuthi254.

As a Rider, you are operating as an independent service provider. You are solely responsible for your conduct, your motorcycle, your compliance with all applicable Kenyan laws and NTSA regulations, and your dealings with Passengers.

nDuthi254's role is limited to providing a digital matching function. Once a match is made, the responsibility for safe, lawful, and professional service delivery rests entirely with you.

Section 03

Acceptance of Terms

By completing the Rider registration process, accessing your Rider dashboard, or accepting any Trip Request through the Platform, you agree to these Terms. These Terms form a legally binding agreement between you and nDuthi254 under the laws of Kenya.

Your continued use of the Platform constitutes ongoing acceptance of these Terms and any updates made to them. If you do not agree to any part of these Terms, you must not register or continue using the Platform as a Rider.

These Terms apply in addition to all requirements of Kenyan law, including but not limited to the Traffic Act Cap 403, the National Transport and Safety Authority Act, the Data Protection Act 2019, and any NTSA regulations applicable to boda boda PSV operators.

Section 04

Eligibility

To register and remain active as a Rider on the Platform, you must:

Providing false, expired, or fraudulent documentation during registration is a serious violation of these Terms and Kenyan law. nDuthi254 will immediately deactivate any Account found to have been registered with falsified credentials and may report the matter to NTSA or law enforcement.

nDuthi254 reserves the right to verify your eligibility at any time and to suspend or terminate Accounts that do not meet these requirements. You are responsible for keeping all your credentials, licences, and insurance valid throughout your active period on the Platform.

Section 05

Onboarding Obligations

Documents Required at Registration

You are required to submit the following at the time of Rider registration:

nDuthi254 will not activate your Rider account until all required documentation has been reviewed and approved. Incomplete submissions will be placed on hold and you will be notified to resubmit.

Accuracy of Information

All information submitted during onboarding must be true, complete, and current. You must notify nDuthi254 promptly — and in any case within 7 days — if any of your registration details change, including your licence status, insurance cover, motorcycle registration, or contact information.

Ongoing Compliance

Your eligibility to remain active on the Platform is continuous. You must at all times maintain:

If any of the above lapses, you must immediately stop accepting ride requests and notify nDuthi254. Operating without valid credentials while using the Platform will result in immediate Account suspension.

NTSA Reflective Jacket

NTSA regulations require all boda boda operators to wear a reflective jacket or vest bearing their PSV badge number while operating. You must comply with this requirement at all times when providing rides through the Platform.

Rider Account

Registration

You must complete the full nDuthi254 Rider registration process and receive account activation before accepting any Trip Request. You may not use the Platform as a Rider without an activated account.

Dashboard Access

You will access your Rider dashboard using a unique Dashboard Token issued to you during registration. You must keep this token secure and must not share it with any other person. Any activity carried out under your token is your responsibility.

One Account Per Rider

Each Rider may hold only one active Account. Creating multiple Accounts — whether to circumvent a suspension, to inflate availability data, or for any other purpose — is a violation of these Terms and will result in permanent deactivation of all associated accounts.

One Motorcycle Per Account

Each Rider Account is associated with one registered motorcycle. If you change your motorcycle, you must notify nDuthi254 and submit updated documentation before using the new motorcycle for Platform rides. Operating with an unregistered vehicle on the Platform is not permitted.

Account Security

You are solely responsible for the security of your Dashboard Token and login credentials. Notify nDuthi254 immediately at support@nduthi254.com if you believe your account has been accessed without your authorisation.

Section 07

Service Expectations

nDuthi254 does not control how, when, or where you work. However, by using the Platform, you agree to provide services to Passengers in a professional, safe, and lawful manner consistent with these standards.

Timely Response

When you accept a Trip Request, you are committing to proceed to the Passenger's stated pickup location within a reasonable time. You must not accept a Trip Request if you are unable or unwilling to fulfil it promptly. Patterns of slow or no-response after acceptance damage the platform's reliability and will be monitored.

Accurate GPS and Location

You must use the Platform in the geographic area where you are actually located. Spoofing your GPS location, misrepresenting your availability zone, or accepting trips you are not geographically positioned to serve is prohibited.

Trip Completion

Once you accept a Trip Request and the Passenger boards your motorcycle, you are expected to complete the Ride to the agreed destination. Abandoning a Passenger mid-journey without lawful cause — including during a dispute — is a serious breach of these Terms and may be reported to relevant authorities.

Agreed Route

You must travel via a reasonable and direct route to the Passenger's destination unless the Passenger requests otherwise. Deliberately taking detours to inflate the journey, time, or fare is prohibited and constitutes misconduct.

Vehicle Availability

Do not present your Account as available on the Platform if your motorcycle is not roadworthy, if your licence or PSV badge has lapsed, if you are under the influence of any substance, or if you are otherwise unable to safely provide services.

Passenger Confirmation

Before commencing a Ride, confirm the Passenger's identity against the details shown in the Platform. If you have any concern about the identity or safety of the Passenger, you have the right to decline or cancel the Ride.

Platform Integrity

You must use the Platform as intended — to receive and complete genuine trip requests from real Passengers. Any attempt to game, manipulate, or exploit the Platform's matching system is prohibited.

Rider Conduct

You agree to conduct yourself in a professional, lawful, and respectful manner at all times while using the Platform and during any Ride.

Consequences of Misconduct

nDuthi254 reserves the right to:

Passengers may report Rider misconduct through the Platform. nDuthi254 investigates all credible reports before taking action. Repeat low-level violations are cumulative and may result in escalating consequences up to permanent deactivation.

Fares & Payments

nDuthi254 does not set, collect, hold, or process fares. The fare for any Ride is a matter agreed solely and directly between you and the Passenger before or at the start of the Ride.

nDuthi254 is not a party to any payment transaction between a Rider and a Passenger. All payments are made directly between the two parties, outside the Platform, by whatever means they agree upon — including cash or M-Pesa.

Agree the Fare Before Every Ride

You are expected to clearly agree and confirm the fare with the Passenger before the Ride commences. Disputes arising from an undisclosed or ambiguous fare agreement are your responsibility to resolve directly with the Passenger.

No Overcharging

You must not demand a fare that was not agreed before the Ride. Charging amounts beyond what was agreed — or altering the fare mid-trip — is prohibited under these Terms and may amount to an offence under the Consumer Protection Act, 2012 (Kenya).

M-Pesa Payments

Where you and the Passenger agree to pay by M-Pesa or another mobile money service, nDuthi254 is not liable for failed, reversed, or disputed mobile money transactions. Disputes relating to mobile money payments must be resolved directly between you and the Passenger, or with the relevant mobile money provider.

Platform Access

Access to the nDuthi254 Platform is currently provided to Riders at no charge. nDuthi254 does not currently deduct commission or platform fees from Rider earnings. Any change to this arrangement will be communicated to Riders with reasonable advance notice and will require your acceptance before taking effect.

Tax Obligations

As an independent operator, you are solely responsible for understanding and meeting any tax obligations arising from your earnings, including any obligations to the Kenya Revenue Authority (KRA). nDuthi254 does not withhold or remit tax on your behalf.

Section 10

Cancellations

Rider-Initiated Cancellations

You may decline a Trip Request before accepting it at your discretion. Once you have accepted a Trip Request, you may still cancel before reaching the Passenger; however, frequent post-acceptance cancellations damage the Platform's reliability and will be monitored. Patterns of accepting and then cancelling trips without valid reason may result in Account restrictions.

Do not accept a Trip Request you cannot fulfil. Accepting and then cancelling — especially after the Passenger has been waiting — wastes their time and erodes trust in the Platform. If you are unavailable, remain offline.

Passenger-Initiated Cancellations

A Passenger may cancel a Trip Request at any time before boarding your motorcycle. If a Passenger cancels after you have already travelled significantly towards the pickup point, nDuthi254 encourages you to resolve any compensation matter directly and calmly with the Passenger. nDuthi254 cannot compel a Passenger to pay for a cancellation, as we do not process payments.

No-Show by Passenger

If a Passenger does not appear at the agreed pickup location within a reasonable time after your arrival, you may cancel the Ride without penalty. You should make reasonable efforts to contact the Passenger through the Platform before cancelling.

Section 11

Fraud Prevention

nDuthi254 takes fraud seriously and employs monitoring to detect anomalous activity on the Platform. The following are strictly prohibited and will result in immediate Account suspension and may lead to criminal referral:

Any Rider found to have engaged in fraud will be permanently deactivated without appeal, and nDuthi254 reserves the right to report the matter to the Kenya Police Service, NTSA, and relevant financial regulators. Trip data, GPS logs, and device records may be provided to law enforcement upon lawful request.

How We Detect Fraud

nDuthi254 uses GPS data, device fingerprinting, trip pattern analysis, and Passenger feedback to identify suspicious activity. You consent to this monitoring by using the Platform. Unusual patterns — such as consistently high acceptance-to-cancellation ratios, GPS anomalies, or duplicate device registrations — will trigger a review.

Section 12

Account Suspension & Termination

Grounds for Suspension or Termination

nDuthi254 may suspend or permanently deactivate your Rider Account in the following circumstances:

Warning Process

For less serious first-time violations, nDuthi254 will generally issue a written warning before suspending your Account. However, nDuthi254 reserves the right to suspend or permanently deactivate your Account without prior warning where the conduct is serious, where safety is at risk, or where fraud is involved.

Temporary Suspension

A temporary suspension means your Account is paused pending investigation. You will be notified of the reason for the suspension and given an opportunity to respond. The outcome of the investigation will determine whether your Account is reinstated or permanently deactivated.

Permanent Deactivation

A permanently deactivated Account cannot be reactivated. If your Account is permanently deactivated, you may not re-register under a different identity. Attempts to do so will result in immediate deactivation of the new Account and may be reported to relevant authorities.

Appeals

If you believe a suspension has been issued in error, you may submit a written appeal to nDuthi254 at support@nduthi254.com within 14 days of the suspension notice. Include your full name, the registered phone number on your Account, and a clear explanation of your grounds for appeal. nDuthi254 will review and respond within 14 business days. Our decision on appeal is final.

Voluntary Deactivation

You may voluntarily deactivate your Account at any time by contacting nDuthi254 at support@nduthi254.com. Voluntary deactivation does not affect any obligations or liabilities you have already incurred under these Terms.

Section 13

Safety Obligations

Helmet Provision (Legal Requirement)

Under the Traffic Act Cap 403 and NTSA regulations, all pillion passengers on motorcycles in Kenya are legally required to wear a helmet. As a Rider, you are responsible for providing a suitable pillion helmet to every Passenger before commencing a Ride. You must not carry a Passenger who refuses to wear a helmet. If a Passenger declines the helmet, you have the right and obligation to refuse the Ride.

Carrying a Passenger without a helmet is a criminal offence under Kenyan law and constitutes an immediate breach of these Terms. Riders found doing so will have their Accounts suspended.

Drink and Drug Driving

You must never operate your motorcycle while under the influence of alcohol, bhang (cannabis), prescription drugs that impair judgement, or any other intoxicating substance. Drink or drug driving is a criminal offence in Kenya and is grounds for immediate permanent deactivation from the Platform.

Speed and Road Safety

You must comply with all speed limits and traffic regulations under the Traffic Act. Boda boda operators are among the most at-risk road users in Kenya. Safe riding protects you, your Passenger, and other road users. Reckless riding reported by Passengers or witnessed by nDuthi254 staff will be treated as a conduct violation.

Night Operations

When accepting rides at night, you must ensure your motorcycle's lighting is fully functional — front and rear lights and indicators. You should exercise additional caution on unlit roads. Passengers are also advised to share their trip details with a trusted contact when travelling at night.

Emergency Situations

In an emergency during a Ride, call the Kenya Police Service (999 or 112) or Kenya Red Cross (1199) immediately. nDuthi254 is not an emergency service. Trip location data will be made available to law enforcement upon lawful request.

Passenger Safety Concerns

If you have genuine safety concerns about a Passenger — including signs of intoxication, threatening behaviour, or requests to transport prohibited items — you are entitled to cancel the Ride. You should report such incidents to nDuthi254 through the reporting channels available in the Platform.

Section 14

Limitation of Liability

To the fullest extent permitted by the laws of Kenya, nDuthi254 expressly excludes liability for:

Platform liability is limited to the matching function only. Where nDuthi254 is found liable under any applicable law, our maximum liability shall not exceed the value of the Platform service directly associated with the incident — which, as a currently free matching service, is zero monetary value.

Road Accident Liability

You are legally required to hold valid PSV insurance under Kenyan law. Liability for any road accident — including injury to your Passenger, third parties, or property damage — rests with you as the vehicle operator and your insurer, not with nDuthi254. By using the Platform, you confirm that your PSV insurance is valid and current.

Independent Contractor Status

Because you are an independent operator and not an employee or agent of nDuthi254, nDuthi254 is not vicariously liable for your acts, omissions, or conduct while providing rides through the Platform.

Force Majeure

nDuthi254 is not liable for service interruptions caused by circumstances beyond our control, including internet outages, power failures, natural disasters, civil unrest, government restrictions, road closures, or NTSA enforcement actions.

Section 15

Data Protection & Privacy

nDuthi254 is committed to protecting your personal data in accordance with the Data Protection Act, 2019 (Kenya) and any regulations issued thereunder.

Sharing with Passengers

When you accept a Trip Request, your first name and motorcycle details (as registered) are made visible to the Passenger for identification purposes. Your phone number is not automatically shared with Passengers through the Platform.

Your Rights Under the DPA 2019

As a data subject under Kenyan law, you have the right to:

Data Retention

We retain Rider registration documents, trip records, and account data for a minimum of 24 months after your last active use of the Platform, to support dispute resolution, safety investigations, and compliance with any legal requirements. You may request deletion of your Account, subject to any outstanding matters or legal holds.

Section 16

Intellectual Property

All content on the Platform — including the nDuthi254 name, logo, interface design, software, Dashboard, and text — is the property of nDuthi254 and is protected by Kenyan copyright and intellectual property laws.

You may not reproduce, copy, reverse-engineer, modify, distribute, or commercially exploit any part of the Platform or its underlying software without prior written permission from nDuthi254.

Using the Platform does not grant you any ownership rights in the Platform or its content.

Section 17

Amendments to These Terms

nDuthi254 may update or revise these Terms from time to time. When we do, we will update the effective date at the top of this page. Where changes are material, we will make reasonable efforts to notify registered Riders via SMS or in-app notification at least 14 days before the changes take effect.

Your continued use of the Platform after the effective date of any revised Terms constitutes your acceptance of those changes. It is your responsibility to review these Terms periodically.

If you do not agree with a revised version of these Terms, you must stop using the Platform and may request deactivation of your Account. Changes required by law or NTSA regulation may take effect immediately without prior notice.

Section 18

Governing Law & Disputes

These Terms are governed by and shall be construed in accordance with the laws of Kenya.

Any dispute arising from or relating to these Terms or the use of the Platform shall first be submitted to nDuthi254 for informal resolution. If the matter cannot be resolved informally within 30 days, either party may refer the dispute to the courts of Kenya with jurisdiction in Nakuru County.

Nothing in this clause limits your rights under applicable Kenyan law, including the Consumer Protection Act, 2012 and the Employment and Labour Relations Act.

These Terms do not create an employment relationship, partnership, joint venture, or agency between you and nDuthi254. You operate as an independent contractor at all times.
